These Terms of Service (“Terms”) govern your access to and use of Midas AI Ltd. (“Midas”, “we”, “us”, “our”) services, including our AI-powered research platform and website.

1. Acceptance of Terms

By signing up, accessing, or using our services—including the waitlist—you accept and agree to these Terms. If you’re accepting on behalf of a company, you represent you have the authority to bind that organisation.

2. Services Provided

Midas delivers an AI-enhanced platform for investor-grade research, enabling users to:

  • Upload and process financial documents and data
  • Generate reports with source citations
  • Collaborate within teams

We reserve the right to modify, suspend, or discontinue any part of the service at our discretion.

3. Registration & Account Responsibility

  • You must be at least 16 years old.
  • Provide accurate registration information.
  • Keep login credentials secure—all activity under your account is your responsibility.
  • You may invite and manage team members once your organisation is onboarded.

4. Subscription, Waitlist & Access

  • Use begins once you accept the invitation after joining the waitlist.
  • Paid plans and pricing will be shared upon onboarding.
  • You agree to pay all fees based on the selected plan.
  • We may suspend access for non-payment.

5. Content Ownership & Use Rights

  • You retain ownership of all content you upload (“User Content”).
  • You grant Midas a limited licence to operate, store, process, and display User Content solely to provide the service.
  • Midas owns all intellectual property rights in the platform, underlying models, and AI-generated outputs, excluding User Content.
  • Generative AI outputs are for your internal business use; you must attribute Midas if publicly redistributed per platform policy.

6. Acceptable Use

You agree not to:

  • Violate laws or regulations
  • Upload infringing, harmful, or abusive content
  • Reverse-engineer, tamper with, or overburden the service
  • Share credentials or allow third-party access without permission

We reserve the right to suspend or delete accounts violating these rules.

7. Privacy & Data Security

Use of your personal data is governed by our Privacy Policy. We implement industry-standard safeguards—including encryption, access controls, and incident response—to protect your data.

8. Third-Party Integrations

  • You may connect third-party services (e.g., Dropbox, Slack).
  • Your data shared via integrations remains subject to these Terms and our Privacy Policy.
  • We’re not responsible for third-party practices or data handling.

9. Disclaimers & Limitations

  • The service is “as is” and “as available.”
  • We disclaim all warranties—including accuracy of outputs or platform suitability for any purpose.
  • We do not guarantee uninterrupted service.

10. Limitation of Liability

  • Our total liability is capped at the amount you paid in the 12 months before any claim.
  • We’re not liable for indirect or consequential damages (e.g., lost profits, data loss).

11. Indemnification

You agree to indemnify and hold Midas, our affiliates, and employees harmless against all claims or damages arising from your use of the service or violation of these Terms.

12. Term & Termination

  • These Terms remain in effect until terminated.
  • Either party may terminate:
    • You, by closing your account;
    • Us, for breach or inactivity (over 12 months), with notice.
  • On termination, your access ends. We may delete your content after retention periods or upon request, per our Privacy Policy.

13. Governing Law & Dispute Resolution

  • These Terms are governed by English law.
  • Disputes will be resolved in the courts of England and Wales.
  • Prior to litigation, parties will seek to resolve issues in good faith within 30 days via written notice.

14. Changes to Terms

We may update these Terms to reflect changes in service or regulations. The effective “Last updated” date will display at the top. Significant changes will be communicated via email or the platform 14 days prior.
